Restaurant Owner

1. Introduction & Scope

These Terms and Conditions (“Agreement”) constitute a legally binding contract between Chicken 99 (“Company,” “we,” “our,” or “us”) and you, the restaurant owner or authorized representative (“Partner,” “you,” or “your”), governing your access to and use of the Chicken 99 platform, including the partner dashboard, order management system, delivery coordination tools, and all related services.

This Agreement applies exclusively to restaurant partners and does not govern the relationship between Chicken 99 and end consumers or delivery personnel. Separate terms apply to those parties.

These Terms supersede all prior agreements, representations, or understandings between you and Chicken 99 relating to the subject matter herein.

2. Definitions

For the purposes of this Agreement, the following terms shall have the meanings set out below:

PlatformThe Chicken 99 web and mobile application, partner dashboard, API, and all associated services.
Partner / RestaurantAny restaurant owner, operator, or authorized representative who has registered to list their establishment on the Platform.
CustomerAn end-user who places a food order through the Chicken 99 platform.
OrderA confirmed request by a Customer for food items listed by the Partner on the Platform.
CommissionThe percentage fee charged by Chicken 99 on each completed Order as specified in the Partner's onboarding agreement.
SettlementThe transfer of earnings to the Partner after deduction of applicable Commission and fees.
ContentAll text, images, videos, descriptions, and other materials uploaded or submitted by the Partner to the Platform.
Prohibited ActivitiesActions or omissions that are expressly forbidden under Section 20 of this Agreement.

3. Eligibility & Registration

To register as a Partner, you must:

  • Be at least 18 years of age.
  • Have full legal authority to enter into this Agreement on behalf of the restaurant entity.
  • Provide accurate business details including legal business name, address, GST/Tax ID, and FSSAI license number.
  • Hold all required local, state, and national food service permits and licenses.
  • Not have been previously suspended or terminated from the Chicken 99 platform.

Chicken 99 reserves the right to reject any registration application at its sole discretion without providing a reason.

4. Account Responsibilities

You are fully responsible for:

  • Maintaining the confidentiality of your login credentials and account access.
  • All activities, transactions, and orders conducted under your account.
  • Immediately notifying Chicken 99 of any unauthorized access or suspected breach of your account.
  • Ensuring your account information (contact details, bank details, address) is accurate and kept up to date.
  • Ensuring that only authorized personnel access your partner dashboard.

Chicken 99 shall not be liable for any loss or damage arising from your failure to maintain account security.

5. Restaurant Compliance

As a Partner, you agree to operate your restaurant in full compliance with all applicable laws, regulations, and standards, including but not limited to:

  • Food Safety and Standards Authority of India (FSSAI) regulations.
  • Local municipal and state health department requirements.
  • Fire safety, sanitation, and building codes applicable to food businesses.
  • Labour and employment laws applicable to your staff.
  • GST and other applicable tax laws.
  • All environmental regulations related to waste disposal and packaging.
Note:Chicken 99 may request copies of your licenses and certifications at any time. Failure to provide these within 7 business days may result in suspension.

7. Food Quality & Safety

Partners must ensure that all food prepared and delivered through the Platform meets the highest standards of quality and safety:

  • All food must be prepared using fresh ingredients that are within their use-by dates.
  • Food must be prepared and stored in hygienic conditions consistent with FSSAI standards.
  • Proper food handling procedures must be followed by all kitchen staff.
  • Packaging must be tamper-evident, clean, and appropriate for the food being delivered.
  • Hot food must be packaged to maintain adequate temperature during delivery.
  • Partners must not fulfil orders for items that are not safe for consumption.

Chicken 99 may conduct periodic quality audits. Restaurants with repeated food quality complaints may be delisted from the platform.

8. Order Management & Fulfillment

Upon receiving an Order, Partners must adhere to the following service level standards:

Failure to maintain these standards may result in reduced platform visibility, temporary suspension, or permanent termination.

9. Delivery Responsibilities

Chicken 99 coordinates delivery through its network of delivery partners. However, Partners are responsible for:

  • Ensuring food is ready and properly packaged at the time of driver pickup.
  • Handing orders only to verified Chicken 99 delivery personnel.
  • Not releasing an order to any unverified third party.
  • Maintaining a clean and accessible pickup area within the restaurant.

For self-delivery restaurants, Partners are additionally responsible for maintaining their own fleet, insurance, and compliance with all road and labor regulations applicable to delivery operations.

10. Pricing, Commission & Fees

Menu prices displayed on the platform must reflect the prices at which the Partner agrees to sell to Customers. You may not charge Customers differently through the Platform than through your own channels without prior written approval from Chicken 99.

Chicken 99 charges a Commission on each completed Order. The applicable Commission rate is specified in your individual Onboarding Agreement (standard range: 15%–25% per order value). Commission rates may be revised with 30 days written notice.

Additional fees may apply for platform services such as premium listing placement, advertising, or promotional campaigns, and will be disclosed before opt-in.

11. Payments & Settlements

Chicken 99 will remit settlement payments on a weekly cycle (every Monday), covering all Orders completed in the preceding week (Monday to Sunday), minus applicable Commission, fees, refunds, and chargebacks.

  • Payments are made via bank transfer (NEFT/RTGS/IMPS) to the account registered in your partner profile.
  • It is your responsibility to ensure your bank account details are accurate and current.
  • Chicken 99 is not liable for delays caused by incorrect banking information provided by the Partner.
  • Settlement statements will be available in the Partner dashboard within 2 business days of each settlement.
  • Any disputes regarding settlement amounts must be raised within 30 days of the settlement date.

12. Taxes

Partners are solely responsible for the collection, reporting, and remittance of all applicable taxes on sales made through the Platform, including GST, VAT, or any other applicable taxes.

Chicken 99 will issue a monthly Tax Invoice reflecting Commissions and platform fees charged. Partners must ensure their GSTIN registered on the platform is valid and current.

Chicken 99 does not provide tax advisory services. Partners are encouraged to consult a qualified tax professional regarding their obligations.

13. Refunds & Chargebacks

Refunds may be issued to Customers in cases including but not limited to: wrong items delivered, missing items, food quality issues, or undue delays. Chicken 99 reserves the right to issue refunds at its sole discretion and will deduct the refund amount from the Partner’s next settlement in the following cases:

  • The error was attributable to the Partner (incorrect items, missing items, poor quality).
  • The Partner failed to prepare the order within the agreed preparation time causing significant delay.
  • The Partner cancelled the order after confirmation without a valid reason.
Note:Partners may dispute a chargeback within 14 days by submitting evidence through the Partner dashboard. Chicken 99’s decision on disputes is final.

14. Customer Complaints

Chicken 99 provides a Customer support system through which Customers may raise complaints. Partners are expected to cooperate fully with complaint resolution processes, including:

  • Responding to queries or requests for information raised by the Chicken 99 support team within 24 hours.
  • Providing photographic evidence or CCTV footage if requested in relation to a quality complaint.
  • Implementing corrective actions when complaints reveal systemic preparation issues.

Persistent customer complaints may adversely affect your restaurant’s visibility on the Platform and may lead to suspension or termination of this Agreement.

15. Ratings & Reviews

The Chicken 99 platform displays restaurant ratings and Customer reviews. Partners acknowledge and agree that:

  • Ratings are calculated based on Customer feedback and are not subject to manual modification by the Partner.
  • Attempting to manipulate ratings through fake reviews, incentivized reviews, or any fraudulent means is a Prohibited Activity under Section 20.
  • Chicken 99 reserves the right to display, moderate, or remove reviews in accordance with its content policy.
  • Restaurants with an average rating below 3.0 for three consecutive months may be subject to suspension.

16. Promotions & Marketing

Partners may opt in to platform-sponsored promotional campaigns (e.g., discounts, free delivery offers, featured listings). By opting in, Partners agree to:

  • Absorb any discount offered as part of the promotion, unless otherwise agreed in writing.
  • Honor promotional pricing for the full duration of the campaign.
  • Not withdraw from an active campaign without providing 48 hours advance notice.

Chicken 99 reserves the right to use the Partner’s restaurant name, logo, and food images in platform marketing materials. Partners grant Chicken 99 a non-exclusive, royalty-free license to use such materials for promotional purposes.

17. Intellectual Property

All intellectual property rights in the Chicken 99 platform, including its software, design, trademarks, and content, are owned exclusively by Chicken 99 or its licensors. Nothing in this Agreement grants you any ownership rights in the Platform.

By uploading Content to the Platform, you grant Chicken 99 a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such Content for the purpose of operating and promoting the Platform.

You warrant that you own or have all necessary rights to the Content you upload and that such Content does not infringe the intellectual property rights of any third party.

18. Confidentiality

Each party may have access to confidential information belonging to the other party during the course of this Agreement. “Confidential Information” includes business strategies, pricing structures, customer data, technical systems, and any information designated as confidential.

Each party agrees to: (a) keep Confidential Information strictly confidential; (b) not disclose it to any third party without prior written consent; and (c) use it solely for the purpose of fulfilling obligations under this Agreement.

This obligation survives termination of this Agreement for a period of 3 years.

19. Data Privacy

Chicken 99 processes personal data of Partners and Customers in accordance with its Privacy Policy and applicable data protection laws including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.

Partners must not collect, store, or process any Customer personal data obtained through the Platform for any purpose other than fulfilling the specific Order. Customer data must not be used for independent marketing, profiling, or shared with third parties.

Note:Any breach of Customer data by a Partner must be reported to Chicken 99 within 24 hours of discovery.

20. Prohibited Activities

Partners must not engage in any of the following activities:

  • Listing items that are illegal, counterfeit, or not approved for sale.
  • Providing false or misleading information in their storefront or to Chicken 99.
  • Circumventing Chicken 99's platform by redirecting Customers to direct channels after initial contact through the Platform.
  • Manipulating ratings, reviews, or search rankings through fraudulent means.
  • Accessing or attempting to access another Partner's account or Chicken 99's systems without authorization.
  • Using the Platform to send unsolicited communications to Customers.
  • Engaging in price gouging or predatory pricing practices.
  • Operating a restaurant that is not licensed or compliant with food safety laws.
  • Violating any applicable law or regulation in the operation of their restaurant.
Warning:Violation of any Prohibited Activity may result in immediate account suspension and potential legal action.

21. Suspension & Termination

By the Partner

You may terminate this Agreement at any time by providing 30 days written notice to Chicken 99. All pending Orders and financial obligations must be fulfilled before termination is effective.

By Chicken 99 — For Cause

Chicken 99 may immediately suspend or terminate this Agreement without notice if the Partner engages in Prohibited Activities; commits fraud; violates food safety laws; causes harm to Customers; or materially breaches any term of this Agreement.

By Chicken 99 — For Convenience

Chicken 99 may terminate this Agreement without cause by providing 30 days written notice.

Upon termination, all pending settlements will be processed within 45 days after all outstanding disputes and chargebacks are resolved. Any amounts owed by the Partner to Chicken 99 will be deducted from the final settlement.

22. Indemnification

You agree to defend, indemnify, and hold harmless Chicken 99 and its officers, directors, employees, agents, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your breach of any provision of this Agreement.
  • Your violation of any applicable law or regulation.
  • Food quality issues, contamination, or illness attributable to food prepared at your restaurant.
  • Any claim by a third party arising from your use of the Platform.
  • Any Content you upload that infringes third-party intellectual property rights.

23. Limitation of Liability

Legal Notice:To the maximum extent permitted by applicable law, Chicken 99 and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, business interruption, loss of data, or goodwill, arising out of or in connection with this Agreement or the use of the Platform.

Chicken 99’s total aggregate liability to you for any claim arising out of or relating to this Agreement shall not exceed the total Commission paid by Chicken 99 to you in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in this Agreement limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

24. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under this Agreement to the extent that such failure or delay is caused by a Force Majeure Event, meaning any circumstance beyond that party’s reasonable control, including but not limited to:

  • Natural disasters, floods, earthquakes, or extreme weather conditions.
  • Acts of war, terrorism, civil unrest, or government-imposed lockdowns.
  • Epidemics or pandemics declared by competent authorities.
  • Failure of third-party infrastructure such as internet or power networks.

The affected party must notify the other party promptly and take all reasonable steps to mitigate the impact of the Force Majeure Event.

25. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with this Agreement shall first be attempted to be resolved through good-faith negotiation between the parties.

If the dispute is not resolved within 30 days of written notice, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties, in the English language, seated in Hyderabad, Telangana, India.

Each party shall bear their own costs of arbitration unless the arbitrator determines otherwise. The arbitral award shall be final and binding.

26. Changes to Terms

Chicken 99 reserves the right to amend these Terms at any time. Material changes will be communicated to Partners via:

  • A notification in the Partner dashboard.
  • An email to the registered email address on your account.

Changes will take effect 15 days after notification, unless the change is required by applicable law in which case it may take effect immediately. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Platform and provide written notice of termination.

28. Acknowledgment

By registering as a Partner or continuing to use the Chicken 99 Platform, you confirm that you have read, understood, and agree to be fully bound by these Terms and Conditions. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
